The domain name astarcventures.com (hereinafter referred to as the “Website”) is owned by Astarc Ventures Private Trust having its registered office at 401, Krystal Building, Above Hakkasan, Waterfield Road, Bandra West, Mumbai – 400050 (hereinafter referred to as “Astarc Ventures”, which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to include its successors, affiliates, partners and permitted assigns).

Astarc Ventures reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use (“the Terms”), at any time without any prior written notice to you. It is your sole responsibility to review these Terms periodically for updates or changes. Your continued use of the Website following the posting of changes shall be deemed to mean that you accept and agree to the revisions. As long as you comply with these Terms, Astarc Ventures grants you a personal, non-exclusive, non-transferable, limited privilege to access and use the Website.

Refer and Earn Platform

Refer

The Website is a referral platform for people to refer start-ups that have sustainable and scalable business ideas for investment by Astarc Ventures. In order to refer a start-up for investment to Astarc Ventures, you will have to provide following information such as:

a. Your name, e-mail and phone number;
b. Product’s Name of the Start-up:
c. URL of the Start-up;
d. How did you find about the product; and
e. Reason why you like the product.

Earn

If Astarc Ventures invests in the entity, Astarc Ventures will give you a “50.05” which means you will get the following:

(a) INR 50,000 (Rupees Fifty Thousand Only) as referral fee (“Referral Fee”) upon Astarc Ventures investing in the start-up referred by you; and

(b) 0.5% (Point Five Percent) of the profit (“Carry”) upon Astarc Ventures selling its shares in the start-up.

For example, if Astarc Ventures invests INR 2 Crore in a company and Astarc Ventures gets INR 10 Crore in return. Profits made is INR 8 Crore (10 Crore- 2 Crore), 0.5% share of profit of INR 8 Crore is INR 4 Lakhs. You will earn up to INR 4,50,000 for just letting us know about the start-up. In case, we lose the money, you still get INR 50,000.

Conditions for Successful Referral Payments

In case your referral has been shortlisted and Astarc Ventures has invested in the start-up referred by you, Astarc Ventures shall inform you about such investment and shall pay you the Referral Fee within 90 (Ninety) days of informing you. Upon sale of investment in the referred start-up by Astarc Ventures, Astarc Ventures shall pay you the Carry within 90 (Ninety) days of Astarc Ventures receiving the sales consideration.

In case Astarc Ventures makes investment in a start-up referred by multiple persons, Astarc Ventures will make payment of Referral Fee and Carry only to the person who had referred the start-up first to Astarc Ventures.

In case Astarc Ventures invests in a start-up which Astarc Ventures was already aware of or was referred to Astarc Ventures by some third party, you shall not be entitled to any Referral Fee.

Payment of Referral Fee and Carry is purely at Astarc Ventures’ discretion and Astarc Ventures may refuse to make any payments to you at any point of time without assigning any reason. You hereby agree not to make any claim against Astarc Ventures for such refusal. Further, Astarc Ventures reserves the right to discontinue the refer and earn program as provided in Clause 2, at any point of time, without prior notice to you.

Acceptance of Terms

Please carefully read these Terms. By accessing or using the Website, you are agreeing to these Terms and concluding a legally binding contract with Astarc Ventures. You may not use the Website if you do not accept the Terms or unable to be bound by the Terms. In case you decide to use the Website, such use of the Website shall be deemed to be your acceptance to these Terms.

Agreement to receive Mails

By accepting these Terms you consent to the receipt of communication from us by way of e-mails and newsletters.

The Website may contain links and interactive functionality interacting with the websites of third parties. Astarc Ventures is not responsible for and has no liability for the functionality, actions, inactions, privacy settings, privacy policies, terms, or content of any such website. Before enabling any sharing functions to communicate with any such website or otherwise visiting any such website, Astarc Ventures strongly recommends that you review and understand the terms and conditions, privacy policies, settings, and information-sharing functions of each such third-party website.

Use of the Website

You agree, undertake and covenant that, during the use of the Website, you shall not host, display, upload, modify, publish, transmit, update or share any information that:

You hereby acknowledge that Astarc Ventures shall not be held liable to you for any special, consequential, incidental, and exemplary or punitive damages, or loss of profit or revenues. We are also not liable under any circumstances for damages arising out or related in any way to your inability to access, or your difficulty in accessing the Website, any bugs, viruses, trojan horses, or the like, which may be transmitted to or through the Website by any third party, any loss of your data or content from the services. Astarc Ventures shall not be liable under any circumstances for damages arising out of or in any way related to information or services offered or provided by third-party vendors accessed through the Website.

The venue of arbitration shall be Mumbai.
